These Terms of Service ("Terms") govern your access to and use of the Ivysion website and all related services provided by Ivysion College Admissions Consulting, LLC ("Ivysion," "we," "us," or "our"). By accessing our website or engaging our services, you agree to comply with and be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Ivysion website (www.ivysion.com) and any related services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must discontinue use of our website and services immediately.
These Terms constitute a legally binding agreement between you and Ivysion College Admissions Consulting, LLC. We reserve the right to modify these Terms at any time, and your continued use of our services following any changes constitutes acceptance of those modifications.
2. Description of Services
Consulting Services
Ivysion provides 100% online college admissions consulting services, including but not limited to: strategic admissions planning, application review and guidance, essay development support, school list curation, interview preparation, extracurricular strategy, and related advisory services. All consultations and engagements are conducted virtually.
Advisory Nature
Our consulting services are strictly advisory in nature. While we provide expert guidance based on extensive experience and proprietary methodologies (including the Spike Framework™, Core Story™, Strategic Positioning Engine™, and List Architecture™), Ivysion does not and cannot guarantee admission to any specific college, university, or educational institution. Admission decisions are made solely by the institutions to which students apply.
Engagement Terms
Specific service agreements, pricing, scope of work, timelines, and deliverables are outlined in individual engagement letters provided prior to the commencement of services. In the event of any conflict between these Terms and an individual engagement letter, the engagement letter shall prevail.
3. Use of Website
Permitted Use
You agree to use this website solely for lawful purposes and in a manner consistent with these Terms. You may access, browse, and use the website for personal, non-commercial purposes related to evaluating or engaging with our services.
Prohibited Conduct
You may not: (a) use our website in any way that could damage, disable, overburden, or impair our servers or networks; (b) attempt to gain unauthorized access to any portion of the website or its systems; (c) use automated tools (bots, scrapers, crawlers) to collect content without written permission; (d) reproduce, distribute, or create derivative works from our content; (e) interfere with any other user's access to or use of the website.
Intellectual Property
All content on this website — including but not limited to text, graphics, logos, images, frameworks, methodologies, proprietary terms (Spike Framework™, Core Story™, Strategic Positioning Engine™, List Architecture™), and software — is the exclusive property of Ivysion and is protected by United States and international copyright, trademark, and intellectual property laws. Unauthorized use is strictly prohibited.
4. Payment Terms
Payment terms, including fees, billing schedules, and accepted payment methods, are specified in your individual service agreement. All fees are due according to the schedule outlined in your engagement letter.
Unless otherwise stated in writing in your engagement letter, all fees paid to Ivysion are non-refundable. This reflects the immediate allocation of resources, advisor time, and strategic planning that begins upon engagement.
Ivysion reserves the right to suspend or terminate services for accounts with outstanding balances exceeding 30 days past due.
5. Confidentiality
Ivysion treats all student and family information with the utmost confidentiality. We will not share, disclose, or distribute your personal details, application materials, strategic recommendations, essay drafts, or any aspect of our consulting discussions with any third party without your explicit written consent.
This confidentiality obligation extends to all Ivysion employees, contractors, and advisors involved in your engagement, each of whom is bound by confidentiality agreements.
Anonymized, aggregate data (such as overall admission statistics) may be used in marketing materials. No student or family will be individually identifiable in any such usage without prior written consent.
6. Limitation of Liability
To the fullest extent permitted by applicable law, Ivysion shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website or services, including but not limited to loss of data, loss of revenue, or disappointment with admission outcomes.
Our total aggregate liability for any claim arising from or related to these Terms or our services shall not exceed the total amount of fees actually paid by you to Ivysion for the specific services giving rise to such claim during the twelve (12) months preceding the claim.
The services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
7. Third-Party Links & Services
Our website may contain links to third-party websites, tools, or services that are not owned or controlled by Ivysion. These links are provided for your convenience and informational purposes only.
Ivysion has no control over, and assumes no responsibility for, the content, privacy policies, practices, or terms of any third-party websites or services. You access third-party sites at your own risk and should review their respective terms and privacy policies.
8. Indemnification
You agree to indemnify, defend, and hold harmless Ivysion, its officers, directors, employees, agents, and advisors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of our website or services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any misrepresentation made by you.
9. Modifications to Terms
Ivysion reserves the right to update, revise, or modify these Terms of Service at any time at our sole discretion. Changes will be posted on this page with a revised effective date. Material changes may also be communicated via email to active clients.
Your continued use of the website or services after any modifications to these Terms constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must stop using our website and services.
10. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or our services shall first be addressed through good-faith negotiation. If resolution cannot be reached within 30 days, the dispute shall be submitted to binding arbitration in the State of New Jersey in accordance with the rules of the American Arbitration Association.
Notwithstanding the foregoing, Ivysion retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
